Terms of Service

1. Acceptance of Terms
By accessing or using the Syprova business management platform and related services (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including administrators, employees, and other individuals who access the Service on behalf of a subscribing organisation.
2. Description of Service
Syprova provides a cloud-based business management platform covering Finance & Accounting, Human Capital Management, Supply Chain Management, Customer Relationship Management, Project Management, Point of Sale, Helpdesk, and related modules. The specific modules available to you depend on your subscription plan.
3. Subscription and Payment
- Plans: Syprova is offered on a subscription basis. You must select a plan and provide valid payment information to activate your account after the free trial period.
- Free Trial: We offer a 14-day free trial with full access to your selected plan. No credit card is required to start the trial.
- Billing: Subscriptions are billed monthly or annually in advance. Annual subscribers receive a discount of up to 20%.
- Upgrades / Downgrades: You may change your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.
- Refunds: Payments are non-refundable except where required by applicable law. If you cancel mid-cycle, you retain access until the end of the paid period.
4. Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Ensuring that all users on your account comply with these Terms
- Providing accurate and up-to-date account information
You must notify us immediately at support@syprova.com if you suspect any unauthorised access to your account.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Upload or transmit malicious code, viruses, or harmful data
- Attempt to gain unauthorised access to any part of the Service or other accounts
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or commercially exploit the Service without our written consent
- Interfere with or disrupt the integrity or performance of the Service
6. Data Ownership
You retain full ownership of all data you input into the Service (“Customer Data”). By using the Service, you grant Syprova a limited, non-exclusive licence to store, process, and transmit Customer Data solely to provide and improve the Service. We will not use Customer Data for any other purpose or share it with third parties except as described in our Privacy Policy.
7. Service Availability
We target a 99.9% monthly uptime for the Service. Scheduled maintenance windows will be communicated in advance. Syprova is not liable for downtime caused by factors outside our reasonable control, including third-party services, acts of God, or government actions.
8. Intellectual Property
The Service, including all content, software, features, and functionality, is and remains the exclusive property of Syprova and its licensors. These Terms do not grant you any rights to use our trademarks, logos, or other brand elements without prior written consent.
9. Limitation of Liability
To the fullest extent permitted by law, Syprova shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total cumulative liability to you for any claim under these Terms shall not exceed the total fees paid by you in the three months preceding the claim.
10. Termination
You may cancel your subscription at any time from your account settings or by contacting support. We reserve the right to suspend or terminate your account for violations of these Terms, non-payment, or fraudulent activity. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our data retention policy.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
12. Changes to These Terms
We may revise these Terms from time to time. We will provide at least 14 days’ notice of material changes via email or an in-app notification. Continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
